Aeropay Rewards Program Terms and Conditions

These Aeropay Rewards Program Terms and Conditions (these “Program Terms”) describe the terms of the Aeropay Rewards Program (the “Program”), made available by Aero Payments, Inc. (“Aeropay,” “we,” “us,” or “our”) to eligible users of the Aeropay application (the “Platform”). These Program Terms supplement, and are incorporated into, the Aeropay Terms of Service and the Aeropay Merchant Agreement, as applicable (collectively, the “Service Terms”), and the Aeropay Privacy Policy. Capitalized terms used but not defined in these Program Terms have the meanings given to them in the Service Terms. By enrolling in, or otherwise participating in, the Program, you agree to these Program Terms. If these Program Terms conflict with the Service Terms with respect to the Program, these Program Terms control solely as to the Program.

1) Program Overview and Eligibility

a) The Program

The Program allows eligible users (each, a “Member”) to earn points (“Points”) in a Rewards Account on qualifying activity conducted through the Platform (“Qualifying Transactions”), and to redeem accumulated Points for cash back, in each case as described in these Program Terms.

b) Eligibility

To participate in the Program, you must hold an Aeropay Account in good standing and be a natural person eighteen (18) years of age or older residing in the United States. Aeropay determines Program eligibility in its sole discretion and may deny or revoke Program participation for any user who does not meet, or ceases to meet, these requirements.

c) Enrollment

Eligible Members are automatically enrolled in the Program upon satisfying the requirements of Section 1(b); no separate registration is required. Enrollment is not a guarantee of continued eligibility, and Aeropay may remove a Member from the Program as described in Section 8 (Program Changes; Termination).

d) Qualifying Transactions

Only Qualifying Transactions are counted for purposes of Tier qualification and Points earning under these Program Terms. Purchases and deposits represent qualifying transactions, subject to additional requirements outlined within 1e). Aeropay may, in its sole discretion, exclude from Qualifying Transactions any transaction that is reversed, refunded, charged back, disputed, cancelled, or that Aeropay determines was not made in good faith or in the ordinary course of a Member’s use of the Platform.

e) Funds Deposited to a Merchant

Where a Member uses Aeropay to deposit, load, or otherwise pre-fund a balance held with a specific merchant for future use at that merchant (a “Merchant Balance”), depositing or loading funds into a Merchant Balance is not, by itself, a Qualifying Transaction and does not earn Points. Funds in a Merchant Balance become eligible for Points only when, and to the extent, they are actually applied to the purchase of goods or services from that merchant in a transaction that otherwise satisfies these Program Terms. If a Member withdraws, transfers out, or otherwise removes funds from a Merchant Balance without using them to purchase goods or services from that merchant, the removed amount is not a Qualifying Transaction and does not earn Points, and Aeropay may reverse or offset any Points already credited with respect to that amount, as described in Section 4 and Section 7.

f) Limits Apply by a Natural Person, Not by Account

Aeropay identifies each Member as a natural person using the identity information verified under the Service Terms. Any current or future limit, cap, or maximum on Points, cash back, or redemptions under the Program applies in the aggregate to that natural person, regardless of the number of Aeropay Accounts, Rewards Accounts, or Program enrollments the person holds or controls. Aeropay may aggregate a Member’s Qualifying Transactions, Points, and redemptions across multiple Aeropay Accounts that Aeropay reasonably believes are held or controlled by the same natural person — including accounts opened using different identifying information, or through family, household, or other related-party arrangements — for purposes of applying any such limit. Opening, controlling, or directing activity through more than one Aeropay Account to exceed a Program limit is a violation of these Program Terms and may result in forfeiture under Section 7.

g) Ineligible transactions

The following are not Qualifying Transactions and do not earn Points: rewards redemptions. Aeropay may modify this list of excluded transaction types from time to time.

2) Program Tiers

a) Overview

The Program has three Tiers, described in the table below (each, a “Tier”). All Members begin in the Liftoff Tier. A Member’s Tier determines the rate at which that Member earns Points, as set out below.

b) Point Value

Each Point has a fixed redemption value of $0.001 (one-tenth of one cent), regardless of Tier. Because the Tiers differ only in the rate at which Points are earned — not in the value of a Point once earned — the approximate cash-back percentages above are consistent across the life of a Point.

3) Tier Qualification and Movement

a) Trailing 12-Month Period

A Member’s Tier is determined by that Member’s Qualifying Transaction activity over the trailing twelve (12) months, measured on a rolling basis (the “Trailing 12-Month Period”). The Trailing 12-Month Period is recalculated daily; it is not a fixed calendar-year or account-anniversary period. As a result, a Member’s Tier at any given time reflects that Member’s Qualifying Transaction activity over the twelve (12) months immediately preceding that day — in short, your Tier always reflects your last 12 months of activity.

b) Tier Assignment

Each day, Aeropay recalculates each Member’s Trailing 12-Month Period activity and assigns the Member to the highest Tier for which the Member then qualifies under Section 2.

c) Upgrades

If a Member’s Trailing 12-Month Period activity newly satisfies the qualification criteria for Ascent or Altitude, Aeropay will move the Member to that Tier.

d) Downgrades

If a Member’s Trailing 12-Month Period activity falls below the qualification criteria for the Member’s current Tier — including because older Qualifying Transactions age out of the Trailing 12-Month Period — Aeropay will move the Member to the highest Tier for which the Member then qualifies, which may be a lower Tier than the Member previously held, including Liftoff. Aeropay will notify a Member of a Tier downgrade by e-mail or in-app notification, as described in Section 11 (Electronic Communications).

e) No Retroactive Adjustment

A Tier change applies prospectively only. A Tier change does not retroactively adjust Points already earned and does not entitle a Member to additional Points for Qualifying Transactions made before the Tier change took effect.

4) Earning Points

a) Earn Rate

A Member earns Points on each Qualifying Transaction at the rate corresponding to the Member’s Tier at the time the Qualifying Transaction is processed, as set out in Section 2.

b) Maximum

A Member may earn a maximum of $100 in redeemable value over a three month period.

c) Timing; Reversal

Points are credited to a Member’s Rewards Account within a reasonable time after the related Qualifying Transaction settles. Aeropay may delay crediting Points, or reverse previously credited Points, for a transaction that is later reversed, refunded, disputed, or determined not to be a Qualifying Transaction.

d) Refunds and Returns

A Member does not earn Points on any portion of a Qualifying Transaction that is later returned or refunded. If a Member returns all or part of a purchase, or otherwise receives a refund, the Points associated with that transaction will be reduced accordingly based on the adjusted transaction amount. If a Member has already received Points or a redemption for an amount that is later returned or refunded, Aeropay may debit the related Points from the Member’s Rewards Account or withhold future Points to offset the amount.

5) Redemption

a) Cash-Out Threshold; Minimum Redemption

A Member must accumulate at least 5,000 Points (approximately $5.00) before the Member may request a redemption, and each redemption request must be for at least $5.00 in value. This cash-out threshold and minimum redemption amount apply uniformly across all Tiers.

b) How Redemption Works

A Member may redeem eligible Points for cash back through the Platform. Redeemed amounts are credited consistent with the Aeropay Terms of Service governing funds transfers to a Member’s linked bank or credit union account.

c) Redemption Is Final

Once submitted, a redemption request cannot be cancelled or reversed, except as required by applicable law or as Aeropay otherwise determines in its sole discretion.

d) Redemption Limits

Over a given three month period, a Member may redeem no more than the maximum total dollar amount outlined under 4b), and may conduct no more than 10 redemptions.

6) Points Expiration; Account Dormancy

a) No Routine Expiration

Points do not expire based on the passage of time alone.

b) Dormancy

If a Member’s Rewards Account has zero Qualifying Transaction or redemption activity for twenty-four (24) consecutive months, all Points then held in that Rewards Account will expire and be forfeited.

c) Reactivation

Any Qualifying Transaction or redemption activity that occurs before Points have expired under Section 6(b) resets the dormancy period described in that Section.

7) Forfeiture; Program Integrity

a) Manipulation or Abuse

Aeropay may, in its sole discretion, withhold, suspend, or revoke Points, a redemption, or Program participation, in whole or in part, if Aeropay determines that a Member’s conduct — including conduct in connection with a Declined Payment, Reversal, or other activity — suggests that the Program has been manipulated or abused, or that Points have not been genuinely earned in the ordinary course of a Member’s use of the Platform.

b) Account Suspension or Closure

Aeropay may suspend or terminate a Member’s Program participation, and any accrued but unredeemed Points, if the Member’s Aeropay Account is suspended or closed for violation of the Service Terms, for suspected fraud, or for any reason described in Section 8 (Actions Aeropay May Take) or Section 10 (Termination) of the Aeropay Terms of Service.

c) Examples of Program Abuse

Without limiting Section 7(a), conduct that violates these Program Terms includes: depositing funds into a Merchant Balance and withdrawing them without a bona fide purchase of goods or services, as described in Section 1(f) (Funds Deposited to a Merchant); and opening, controlling, or directing activity through more than one Aeropay Account to exceed a Program limit, as described in Section 1(g) (Limits Apply by Natural Person, Not by Account).

8) Program Changes; Termination

a) Modification

Aeropay reserves the right to modify, suspend, or terminate the Program, these Program Terms, or any Tier, earn rate, redemption term, or other Program feature, at any time, for any reason, in its sole discretion.

b) Notice

Aeropay will provide notice of a material change to these Program Terms as described in Section 11 (Electronic Communications). Continued participation in the Program after a change becomes effective constitutes acceptance of the change.

c) Program Discontinuation

If Aeropay discontinues the Program in its entirety, Aeropay will provide Members with reasonable advance notice and a reasonable opportunity to redeem Points accumulated as of the discontinuation date, to the extent those Points meet the redemption criteria in Section 5, before the Points are forfeited.

9) Taxes

Cash back or other value received through the Program may have tax implications. You are solely responsible for determining and satisfying any tax obligations arising from your participation in the Program.

10) Relationship to the Service Terms and Privacy Policy

a) Incorporation

These Program Terms are supplemental to, and incorporated into, the Service Terms. Except as expressly modified by these Program Terms, the Service Terms continue to apply to your use of the Platform and the Aeropay Services.

b) Use of Program Information

Aeropay collects and uses information about your Program enrollment, Tier, Qualifying Transactions, and Points activity as described in the Aeropay Privacy Policy. This information is collected in connection with your use of the Aeropay Services and is safeguarded and used consistent with Aeropay’s obligations as a financial institution under the Gramm-Leach-Bliley Act. Nothing in this Section 10(b) characterizes Aeropay as a money transmitter; consistent with Section 1(b) of the Aeropay Terms of Service, Aeropay has no Money Transmitter Licenses and is not registered as a money services business.

c) Nature of Points

Points have no cash value except as, and to the extent, expressly provided in these Program Terms. Points are not currency, a security, a commodity, or any other form of monetary instrument, and have no independent dollar value outside the Program. The Point value referenced in Section 2(b) is a conversion rate used solely to calculate redemption amounts under Section 5, and is not a representation that a Point can be bought, sold, or exchanged for that amount other than through a redemption completed in accordance with these Program Terms. Points are not your property, a deposit, or an account balance held by Aeropay or a Financial Institution Partner, and do not bear interest.

d) No Transfer of Points

Points are personal to the Member who earned them. A Member may not sell, transfer, assign, pledge, barter, gift, or otherwise convey Points to another person or to another Aeropay Account, whether for consideration or otherwise, except as Aeropay may otherwise permit in writing. This restriction applies to transfers between different Members and to transfers between multiple Rewards Accounts held by the same Member. Points do not survive a Member’s death and are not transferable to a Member’s estate or heirs; Aeropay may cancel Points held in a deceased Member’s Rewards Account. Any attempted transfer of Points in violation of this Section 10(d) is void, and the transferred Points may be forfeited under Section 7.

11) Electronic Communications

Consistent with Section 2 of the Aeropay Terms of Service, you consent to receive all Program-related communications — including Tier changes, redemption confirmations, and changes to these Program Terms — electronically, at the e-mail address or through the in-app notifications associated with your Account.

12) Disclaimer of Warranties; Limitation of Liability

THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE.” AEROPAY DOES NOT WARRANT THAT THE PROGRAM, INCLUDING TIER CALCULATIONS, POINTS BALANCES, OR REDEMPTION PROCESSING, WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, AEROPAY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PROGRAM, INCLUDING ANY ERROR IN TIER ASSIGNMENT, POINTS CALCULATION, OR REDEMPTION, IS LIMITED TO THE LESSER OF (I) THE VALUE OF THE POINTS AT ISSUE OR (II) $100. THE DISCLAIMERS AND LIMITATION OF LIABILITY SET FORTH IN THE AEROPAY TERMS OF SERVICE APPLY EQUALLY TO THE PROGRAM.

13) Dispute Resolution

Any dispute relating to the Program, these Program Terms, your Tier, your Points balance, or a redemption is subject to the binding arbitration provision set forth in the Aeropay Terms of Service, which is incorporated into these Program Terms by reference.

14) General Provisions

a) Governing Law

These Program Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles, consistent with Section 14(g) of the Aeropay Terms of Service.

b) Entire Agreement

These Program Terms, together with the Service Terms and the Privacy Policy, constitute the entire agreement between you and Aeropay with respect to the Program.

c) Amendment

Aeropay may amend these Program Terms as described in Section 8(b) (Program Changes; Termination).

d) Severability; No Waiver

If any provision of these Program Terms is held invalid or unenforceable, that provision will be struck, and the remaining provisions will continue in full force and effect, consistent with Section 14(i) of the Aeropay Terms of Service. Aeropay’s failure to enforce any provision of these Program Terms is not a waiver of that provision.
